Spirit Airlines Rejects Frontier Again, Focuses on Growth

Spirit Airlines has once again turned down Frontier Airlines’ merger proposal, choosing instead to move forward with its restructuring plan. This marks the third time Spirit Airlines has rejected an acquisition offer from Frontier, further reinforcing its commitment to independent financial recovery. Since the latest $400 million bid aimed to merge both airlines, it would have positioned them as the fifth-largest carrier in the U.S. However, Spirit Airlines determined the offer did not align with its long-term financial strategy.

Frontier’s latest attempt followed two previous unsuccessful bids. In 2022, a competing offer disrupted the first deal, which eventually collapsed due to regulatory concerns. The second proposal in 2023 included a $580 million offer and a 26.5% stake for Spirit Airlines’ shareholders. Even though negotiations continued for months, both airlines failed to reach an agreement. As a result, Spirit Airlines filed for bankruptcy protection.

The most recent offer, made in early 2025, valued Spirit Airlines at $400 million and proposed a 19% stake for Frontier’s shareholders. Although Spirit Airlines countered with a revised proposal, Frontier Airlines refused the deal on February 10. Instead of accepting the merger, Spirit Airlines continues to focus on its restructuring plan. The airline aims to reduce debt, strengthen operations, and secure financial stability. Since nearly all creditors have approved the plan, a confirmation hearing is scheduled for Thursday.

Spirit Airlines remains determined to emerge stronger from bankruptcy. Because of its recovery plan, the airline expects to create a solid foundation for long-term growth. By prioritizing financial health, Spirit Airlines is positioning itself as a competitive force in the industry. While acquisition offers continue, the airline remains dedicated to maintaining independence and enhancing its market presence.
